First: Terms & Conditions

1. Introduction

Welcome to Tech Revolution Systems (TRS). By using our website or requesting our services (including systems development, dashboards, data analytics, and automation), you agree to all the following terms and conditions.

2. Scope of Work & Amendments

  • What We Deliver: A detailed Statement of Work (SoW) defining the required features, services, and technologies.
  • Out of Scope: Any request not mentioned in the original SoW is considered an extra service and requires an independent Change Order.
  • Revisions: The client is entitled to a predefined number of revisions to prevent Scope Creep.

3. Payment Policy & Models

TRS provides two flexible contract models:

  • Managed Hosting (Subscription): The system is hosted on TRS servers. The client pays a non-refundable Setup Fee (30%-50%), followed by a periodic subscription to ensure ongoing operations and support.
  • Full Buyout (Ownership Transfer): The client pays the total project cost upfront. The final payment is due upon delivery, before the source code is transferred to the client's servers.

4. Delivery & Timelines

Estimated timelines are directly tied to the client's commitment to providing necessary content, feedback, and timely responses.

Shared Commitment: To ensure our team is fully dedicated to your project and delivers on time, we rely on your continuous communication. An interruption of more than 14 business days will force us to reschedule your project to avoid overlapping with other clients, which may incur a project resumption fee.

5. Testing & Final Acceptance

Upon project (or phase) delivery, the client is granted 7 business days for testing. If no substantial feedback or modification requests are provided in writing, the project is considered "finally accepted," and the final payment is automatically due.

6. Intellectual Property & Licensing

IP rights vary based on the contracting model:

  • Subscription Model: The client owns full rights to the "data and content" within the system. TRS retains exclusive ownership over the Source Code and system architecture. The client may not request a code copy.
  • Full Buyout Model: After full payment and ownership transfer fees, the project is moved to the client's servers. However, the client is prohibited from reselling the system or distributing it as Open Source software without explicit written permission.
  • Background Technology: In both models, TRS retains IP rights to the foundational code and libraries developed previously and used in the project.

7. Technical Support & Maintenance

  • Subscription Model: Ongoing technical support and routine maintenance are included in the periodic subscription fees.
  • Full Buyout Model: We provide 14 days of free post-delivery support to ensure the system is bug-free. Any subsequent updates require a separate maintenance contract. TRS is not liable for system outages caused by the client's hosting environment or third-party API updates.

8. Contract Termination & Cancellation

  • By the Client: If the client cancels the project for reasons unrelated to TRS negligence, the initial deposit is non-refundable. For subscriptions, the client may cancel at any time but prepaid fees are non-refundable.
  • By TRS: TRS reserves the right to terminate the contract in cases of harassment, abuse, or failure to pay subscription fees on time.

9. Liability Limits & Force Majeure

Maximum Financial Liability: Under no circumstances shall TRS liability exceed the total amount actually paid by the client for the specific project. Services are provided "As-Is," and we bear no responsibility for material or operational losses resulting from client misuse or security breaches caused by client negligence.

Force Majeure: Neither party shall be liable for delays or outages caused by circumstances beyond their control (e.g., widespread internet outages, global server crashes).

10. Dispute Resolution & Nature of Work

We are an independent team of practitioners holding certified freelance licenses in Saudi Arabia, not a Limited Liability Company (LLC). In case of any dispute regarding project delivery, both parties commit to an amicable resolution within 15 days. Otherwise, the laws and regulations of Saudi Arabian courts shall prevail.

Second: Privacy Policy

1. Compliance with the Personal Data Protection Law (PDPL)

As we operate under the laws of Saudi Arabia, our privacy policy fully complies with the general principles of the Saudi Personal Data Protection Law (PDPL), providing our clients with robust legal protection and strict confidence regarding their data.

2. Information We Collect

We collect only the information necessary to efficiently execute your projects, which includes names, contact details, server access credentials (if required), and project specifications.

3. Data Usage & Protection

Data is used exclusively for communication, requirement analysis, and service delivery. We are strictly committed to never selling, renting, or sharing client data or project methodologies with any third party.

4. User Rights & Data Retention

  • The client reserves the right to request editing, exporting, or permanently deleting their data at any time.
  • For Buyout Projects: We retain a backup of the project files for 30 days post-delivery on client servers in case of emergencies. Afterward, all traces (including source code) are securely destroyed, placing the responsibility of future backups entirely on the client.

Third: Non-Disclosure Agreement (NDA)

This agreement guarantees full reliability for the client's concept and data, and guarantees absolute confidentiality for TRS's source code and working methodologies.

1. TRS Obligations

The TRS team commits to not sharing the client's project details or ideas with any competing third party, and strictly prohibits the use of client data for external purposes.

2. Client Obligations

The client strictly commits to never leaking source codes, dashboards, or methodologies developed by TRS to any technical entity or competitor for the purpose of copying, modifying, or reverse-engineering.

3. Agreement Term

Confidentiality obligations remain in full effect throughout the course of work and extend for 3 full years following final delivery or subscription termination.

Fourth: Legal Disclaimer

1. Reliance on External Parties

TRS bears no liability for any downtime or disruptions in the system resulting from external third-party services (such as server outages, API deprecation, or forced global operating system updates).

2. Unlawful Usage

TRS fully disclaims responsibility for any unlawful use of the systems and software we develop. The client is solely responsible for ensuring their system and imported content comply with the laws and regulations of their operating jurisdiction.

3. Nature of Entity

We clarify that TRS (Tech Revolution Systems) is not registered as a commercial entity (LLC) but functions as an independent, highly professional freelance coalition.

All members hold certified freelance practice documents within Saudi Arabia, delivering services in accordance with approved regulations, ensuring transparency, credibility, and long-term client relationships.
